1) Personal data we collect
We collect the following categories of information:

Identifiers & contact — name, email address, phone number, mailing address, country/state, company name, role/title.
-
Commercial & professional info — inquiry details, project notes, SOWs, invoices, records of Services purchased.

Cookies & similar tech — identifiers that help operate the site, prevent fraud, measure audiences, and remember preferences. See § 10 Cookies & analytics.
-
Inferences — preferences or estimated interests derived from the data above (e.g., likely topics you’re interested in).
-
Sensitive data — we do not seek to collect sensitive data (e.g., precise geolocation, biometric identifiers, health data). If a project requires limited processing of such data, we’ll only do so when strictly necessary to provide/maintain the requested Service or with your consent (see § 6 Sensitive data).
Sources. You, your devices, our service providers (e.g., analytics, hosting), and public/professional sources (e.g., LinkedIn, event lists) consistent with your settings and applicable laws.
2) How we use personal data
We use data to: - Provide, secure, and troubleshoot the Services; fulfill requests; operate our site; personalize basic content (not behavioral ads). - Communicate with you (support, updates, proposals, billing, and transactional emails). - Analyze usage and improve performance; develop new features; detect/prevent fraud, abuse, or security incidents. - Meet legal, regulatory, and tax obligations; enforce agreements; protect rights, safety, and property. - Marketing we think is relevant to you (B2B emails or ads), consistent with your choices and opt‑outs.
We follow data minimization and purpose limitation principles: collect only what’s reasonably necessary, use it for the stated purposes, and obtain consent if we later want to use data for a materially different, incompatible purpose.
3) How we share personal data
We disclose data to: - Service providers/Processors (e.g., hosting, cloud platforms, analytics, CRM, email delivery, payment processing) under written contracts that limit their use to our instructions. - Business partners you direct us to work with on a project. - Professional advisors & compliance (lawyers, accountants, insurers) under confidentiality. - Corporate transactions (merger, investment, sale/transfer) where data is part of assets. - Law enforcement/Legal when required or to protect rights, safety, and security. - Affiliates under this Policy.
We do not sell personal data and we do not share it for cross‑context behavioral/targeted advertising. If that changes, we will update this Policy and provide clear opt‑out mechanisms.

Authorized agents & universal signals. You may use an authorized agent to submit an opt‑out, including via a browser/plug‑in or opt‑out preference signal (e.g., Global Privacy Control) that communicates your choice. Where we can reasonably verify the request, we will honor it. See § 9.
5) Non‑discrimination
We will not discriminate against you for exercising your privacy rights (e.g., deny goods/services or charge different prices), except that we may offer legitimate loyalty or similar programs consistent with the law.
6) Sensitive data
We do not sell sensitive data. We do not collect, process, or share sensitive data (e.g., precise geolocation, biometric/genetic data, consumer health data, data about a known child, or data revealing race/ethnicity, religious beliefs, sexual orientation, or citizenship/immigration status) unless it is strictly necessary to provide/maintain a Service or you give consent. You may revoke consent at any time, and we will stop processing as soon as practicable (no later than 30 days), subject to legal obligations.
7) Children & teens
Our Services are intended for business users and are not directed to children under 13. We do not knowingly engage in targeted advertising to teens 13–17, nor sell their personal data without consent. If you believe we have collected a child’s data, contact info@adjertech.com.

Consulting Services Supplement (Master Terms)
Applies when a client engages Adjertech for paid work
A) Scope & SOWs
We’ll describe each project’s scope, deliverables, timeline, fees, and assumptions in a mutually signed SOW. Conflicts between an SOW and these Master Terms are resolved in favor of the SOW.
B) Fees, expenses, and taxes
-
Fees are as stated in the SOW (time‑and‑materials or fixed price).
-
We may invoice reasonable, pre‑approved expenses at cost.
-
Invoices are due Net 15 unless the SOW states otherwise. Late amounts may accrue the lesser of 1.5%/month or the maximum allowed by law.
-
Client is responsible for applicable taxes (excluding our income taxes). If required by law, Client will provide valid exemption certificates or withholdings documentation.
C) Deliverables & IP
-
Client Materials. Client retains ownership of all materials and data it supplies. Client grants Adjertech a limited license to use Client Materials to perform the Services.
-
Pre‑existing IP & Tools. Adjertech retains ownership of its pre‑existing materials, know‑how, code, frameworks, and general‑purpose tools (“Adjertech Tools”). To the extent Adjertech Tools are embedded in Deliverables, Adjertech grants Client a perpetual, worldwide, royalty‑free license to use them as part of the Deliverables.
-
Work Product. Upon full payment, Client owns Deliverables specifically identified in the SOW as “Client‑owned,” excluding Adjertech Tools and third‑party components. If an SOW states Deliverables are licensed (e.g., accelerators, reusable components), they’re licensed as described in that SOW.
-
Open‑source/Third‑party. Deliverables may include third‑party or open‑source components under their own licenses.
D) Confidentiality
Each party will protect the other’s Confidential Information using the same degree of care it uses to protect its own (not less than reasonable care), and use it only for performing/receiving the Services. Exceptions include information that is public, already known without duty, independently developed, or lawfully disclosed by a third party. Required disclosures (e.g., by law) are permitted with prompt notice where lawful.
E) Data protection & security
When Adjertech processes personal data on Client’s behalf (as a processor/service provider), Adjertech will: (i) act on Client’s documented instructions; (ii) implement reasonable security; (iii) ensure personnel confidentiality; (iv) assist with data subject requests that Client must respond to; and (v) delete/return data at the end of the engagement, subject to legal retention. A project‑specific Data Processing Addendum (DPA) will be provided on request.
F) Warranties & disclaimers
We warrant we will perform the Services in a professional and workmanlike manner. Except for the foregoing, the Services and Deliverables are provided “as is.” We disclaim all other warranties.
G) Indemnities
-
By Adjertech. We will defend and indemnify Client against third‑party claims that Deliverables, as delivered and used according to the SOW, infringe a U.S. intellectual‑property right, and pay resulting damages/fees finally awarded or approved in settlement. If infringement is alleged, we may procure rights, modify, or replace the Deliverable; if not feasible, we may refund prepaid, unused fees for the affected Deliverable.
-
By Client. Client will defend and indemnify Adjertech against claims arising from Client Materials, Client‑directed configurations, or Client’s misuse of the Services.
H) Liability cap
Each party’s aggregate liability arising out of the Services is capped at the fees paid or payable by Client to Adjertech for the Services giving rise to the claim in the 12 months before the event (excluding indemnity obligations for IP infringement and Client’s payment obligations). Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, or data.
I) Term, termination, and suspension
Either party may terminate an SOW for material breach not cured within 30 days after written notice. Either party may terminate for convenience on 15 days’ notice if allowed by the SOW (fees due through the effective date; non‑cancelable costs are Client’s responsibility). We may suspend work for non‑payment.
J) Non‑solicitation
During the engagement and for 6 months after, neither party will solicit employment of the other’s personnel who worked on the engagement, except via public job postings (no penalty for general solicitations).
K) Miscellaneous
Assignment with consent (not unreasonably withheld), except to an affiliate or as part of a merger/sale. Notices by email are effective on receipt. Force majeure applies. If any term is unenforceable, the rest remain in effect. These Master Terms plus the SOW are the complete agreement for the Services.
